These policies apply to SoireeAds.com and the advertising, publisher, campaign-management, analytics, account, payment, and related services made available through the SoireeAds platform.
1. TERMS AND CONDITIONS
Introduction
Welcome to SoireeAds.com. These Terms and Conditions govern access to and use of the SoireeAds website, advertising platform, publisher services, campaign tools, dashboards, analytics features, payment functionality, APIs where offered, and other related products and services collectively referred to as the “Services.”
For purposes of these Terms, “SoireeAds,” “we,” “our,” and “us” refer to [LEGAL COMPANY NAME], the operator of SoireeAds.com. “User,” “you,” and “your” may refer to an advertiser, publisher, agency, business, organization, account administrator, representative, visitor, or other person using the Services.
By creating an account, submitting an advertisement, purchasing advertising, participating as a publisher, accessing the Services, or otherwise using SoireeAds.com, you agree to these Terms and any additional policies incorporated into them. If you do not agree, you must discontinue use of the Services.
Eligibility
You must have the legal capacity to enter into a binding agreement to use SoireeAds. If you use the platform on behalf of a business, agency, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.
You are responsible for ensuring that your use of the Services is lawful in every jurisdiction in which you conduct business, advertise, publish content, collect information, or target users.
SoireeAds may establish additional eligibility requirements for particular advertising products, publisher programs, industries, geographic locations, payment methods, or account types.
Account Registration
Certain Services require a registered account. You agree to provide accurate, complete, and current information when creating and maintaining your account.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. Accounts may not be sold, rented, transferred, or shared in a manner that circumvents SoireeAds policies unless we have provided written authorization.
You must notify SoireeAds promptly if you reasonably believe that your account has been compromised, accessed without authorization, or used fraudulently.
SoireeAds may request identity, business, domain ownership, payment, tax, advertiser, publisher, or other verification information where reasonably necessary to operate or protect the platform.
Advertising Services
SoireeAds allows eligible advertisers to create, submit, manage, fund, and monitor digital advertising campaigns.
Submitting an advertisement does not guarantee approval, distribution, impressions, clicks, conversions, placement, audience size, campaign performance, or business results.
Advertisements may be reviewed before or after publication. Automated systems and human review may be used to assess compliance with platform policies.
SoireeAds reserves the right to reject, restrict, suspend, pause, remove, or discontinue an advertisement or campaign when we reasonably determine that it violates our policies, creates legal or security risk, threatens users or publishers, interferes with platform integrity, or is otherwise unsuitable for our advertising network.
Advertiser Responsibility
Advertisers are solely responsible for their advertisements, offers, products, services, landing pages, claims, disclosures, intellectual property, targeting choices, and legal compliance.
Advertisers must possess all licenses, permissions, authorizations, substantiation, rights, and approvals necessary to advertise the products or services promoted through SoireeAds.
Approval of an advertisement by SoireeAds does not constitute legal approval, endorsement, certification, or confirmation that the advertisement complies with every applicable law.
Publisher Services
SoireeAds may permit eligible website owners, application operators, media organizations, content creators, or other publishers to display advertisements distributed through the platform.
Participation in the publisher program does not guarantee advertising availability, fill rates, impressions, revenue, payment amounts, or continued eligibility.
Publishers must comply with the Publisher Policy and may not artificially generate or encourage invalid impressions, clicks, conversions, engagement, or other advertising events.
Campaign Budgets and Charges
Advertisers may be required to prepay advertising balances, maintain valid billing information, establish campaign budgets, or authorize charges through available payment methods.
Campaign budgets represent spending parameters rather than guarantees that the entire amount will be spent.
Advertising charges may be calculated using impressions, clicks, actions, conversions, time, placements, fixed campaign pricing, bidding systems, or other pricing methods disclosed through the platform.
Advertisers are responsible for reviewing campaign settings before campaigns are activated.
Taxes
Users are responsible for taxes, duties, levies, assessments, or government charges applicable to their transactions, advertising purchases, publisher earnings, or business activities except where SoireeAds is legally required to collect, withhold, report, or remit them.
Publishers may be required to provide valid tax information before receiving payments.
Intellectual Property
The SoireeAds website, platform software, user interface, branding, logos, original graphics, databases, documentation, algorithms, platform design, and other proprietary materials are owned by SoireeAds or its licensors and are protected by applicable intellectual-property laws.
These Terms provide users with a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose. No ownership interest in SoireeAds intellectual property is transferred to users.
Advertiser Content License
Advertisers retain ownership of advertising materials they own.
By submitting advertisements or related content to SoireeAds, the advertiser grants SoireeAds a worldwide, non-exclusive license to host, reproduce, resize, format, transmit, display, distribute, technically process, and otherwise use the submitted material as reasonably necessary to provide, secure, measure, promote, and administer the advertising Services.
This license does not transfer ownership of the advertiser’s underlying intellectual property.
Publisher Content
Publishers retain ownership of their websites, applications, and original content.
By participating in the SoireeAds publisher network, publishers authorize SoireeAds to deliver advertising technology, advertising content, measurement functionality, and associated code to approved digital properties according to applicable program requirements.
Prohibited Conduct
Users may not use SoireeAds to engage in fraud, impersonation, phishing, malware distribution, unauthorized data collection, manipulation of advertising statistics, intellectual-property infringement, illegal transactions, circumvention of platform controls, unauthorized automated access, interference with platform systems, or other activity reasonably considered harmful to SoireeAds, advertisers, publishers, users, or third parties.
Users may not create multiple accounts for the purpose of avoiding suspensions, restrictions, verification requirements, outstanding balances, or enforcement actions.
Third-Party Services
SoireeAds may integrate with payment processors, analytics providers, advertising technologies, hosting companies, fraud-prevention providers, identity-verification providers, data providers, social platforms, or other third-party services.
Third-party services may operate under their own terms and privacy practices. SoireeAds is not responsible for third-party services outside our control.
Platform Availability
We seek to maintain reliable services, but do not guarantee continuous or error-free availability.
Services may occasionally be unavailable due to maintenance, infrastructure issues, security incidents, provider interruptions, software errors, force majeure events, or other circumstances.
Modifications to Services
SoireeAds may introduce, modify, limit, discontinue, replace, or remove features as the platform evolves.
Where legally required or reasonably appropriate, users may be notified of material changes.
Account Suspension and Termination
SoireeAds may restrict, suspend, or terminate an account when reasonably necessary because of policy violations, suspected fraud, payment disputes, legal requirements, security concerns, repeated rejected advertisements, invalid traffic, abusive behavior, or threats to platform integrity.
Depending on the circumstances, SoireeAds may provide an opportunity to appeal an enforcement decision.
Serious violations may result in immediate action without advance notice.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as available” and “as provided” basis.
SoireeAds does not guarantee campaign profitability, sales, leads, clicks, impressions, conversions, publisher earnings, search ranking, customer acquisition, revenue growth, or other business outcomes.
Users are responsible for evaluating whether SoireeAds is appropriate for their business objectives.
Limitation of Liability
To the maximum extent permitted by applicable law, SoireeAds and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses arising from use of the Services, including lost profits, lost business opportunities, loss of goodwill, or loss of data.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SoireeAds and its affiliated parties from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your advertisements, publisher properties, products, services, violations of these Terms, infringement of third-party rights, illegal conduct, or misuse of the Services.
Governing Law
These Terms will be governed by the laws of [STATE/COUNTRY], without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any mandatory consumer protections available under applicable law remain unaffected.
Changes to These Terms
SoireeAds may update these Terms to reflect changes in the Services, law, security requirements, business practices, or advertising standards.
The revised Terms will identify an updated effective date. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.

ADVERTISER POLICY
Purpose
The SoireeAds Advertiser Policy establishes standards for advertisements, advertisers, offers, landing pages, targeting practices, and promotional activity conducted through the platform.
These requirements are designed to support trustworthy advertising, protect users and publishers, and reduce deceptive, fraudulent, harmful, or unlawful advertising activity.
Truthful Advertising
Advertisements must accurately represent the product, service, organization, opportunity, price, promotion, or claim being advertised.
Advertisers must not make false, deceptive, misleading, materially incomplete, or intentionally confusing statements.
Claims concerning performance, results, savings, earnings, health benefits, product characteristics, availability, or other objective matters must have appropriate support before being advertised.
Advertiser Identity
Advertisers must accurately represent the individual, organization, company, or brand responsible for an advertisement.
Impersonation, fictitious business identities, materially misleading domains, hidden ownership intended to facilitate abuse, and unauthorized use of another business's identity are prohibited.
Landing Pages
The destination associated with an advertisement must function properly and must reasonably correspond to the content of the advertisement.
Landing pages must not unexpectedly redirect users to unrelated destinations, automatically download malicious files, imitate system warnings, conceal the true destination, or use deceptive navigation designed to prevent users from leaving.
Pricing and Offers
Advertisements involving prices, discounts, trials, subscriptions, recurring billing, free offers, financing, or limited-time promotions must clearly communicate material conditions that could affect a consumer's decision.
Advertisers must not advertise unavailable prices solely to attract users to materially different offers.
Testimonials and Endorsements
Testimonials, endorsements, influencer promotions, ratings, and reviews used in advertising must reflect genuine experiences and may not be fabricated or materially manipulated.
Material relationships between an advertiser and an endorser must be disclosed where disclosure is required.
Intellectual Property
Advertisers must own or possess appropriate rights to use trademarks, logos, photographs, music, videos, software, copyrighted works, likenesses, and other material contained in their advertisements.
SoireeAds may remove advertisements following credible intellectual-property complaints or other evidence of infringement.
Discriminatory Advertising
Advertisers may not use SoireeAds to unlawfully discriminate against individuals or protected groups.
Advertisers using targeting features for employment, housing, credit, education, public accommodations, or similarly regulated opportunities are responsible for complying with all applicable anti-discrimination requirements.
SoireeAds may restrict available targeting options for sensitive advertising categories.
Health and Medical Advertising
Health-related advertisements must not make unsupported claims concerning diagnosis, treatment, prevention, cure, recovery, guaranteed health outcomes, or other medical results.
Prescription products, regulated medical products, healthcare services, supplements, weight-management products, and other health-related categories may be restricted or subject to additional approval requirements.
SoireeAds may require licenses, certifications, substantiation, disclaimers, or additional information before approving such advertising.
Financial Advertising
Advertisements for lending, credit, investment opportunities, insurance, financial services, money-transfer services, cryptocurrency-related offerings, securities, or income opportunities may be subject to enhanced review.
Advertisements must not promise guaranteed investment returns, conceal material risks, promote fraudulent enrichment schemes, or misrepresent financial products.
Employment and Business Opportunities
Employment, work-from-home, franchise, investment, training, and business-opportunity advertisements must accurately disclose the nature of the opportunity.
Advertisements must not falsely guarantee employment, income, profit, contracts, government funding, or business success.
Political and Election Advertising
Political, election, referendum, advocacy, or issue advertising may be restricted, geographically limited, subjected to verification requirements, or prohibited depending on SoireeAds policies and applicable law.
No advertiser may assume that political advertising is permitted merely because the platform technically accepts an advertisement.
Written authorization from SoireeAds may be required before running regulated political advertising.
Adult Content
Pornographic advertising, explicit sexual content, sexual services, exploitative sexual material, non-consensual intimate content, or advertisements primarily intended to sexually arouse users are prohibited.
SoireeAds may impose additional restrictions on dating, relationship, reproductive-health, or other mature-audience advertising.
Illegal Drugs and Controlled Substances
Advertising that promotes illegal drugs, unlawful controlled substances, illegal drug trafficking, or products marketed primarily to facilitate illegal drug use is prohibited.
Other regulated substances may be restricted according to applicable law and platform policy.
Weapons and Dangerous Products
Advertisements promoting illegal weapons, explosives, or products whose primary purpose is to facilitate unlawful violence are prohibited.
SoireeAds may impose broader restrictions on firearms, ammunition, tactical weapons, or other dangerous products regardless of whether they are lawful in a particular jurisdiction.
Malware and Cyber Abuse
Advertisements may not distribute or facilitate malware, ransomware, spyware, credential theft, phishing, unauthorized surveillance, fraudulent browser extensions, deceptive software installations, or tools primarily intended to compromise computer systems.
Counterfeit and Stolen Goods
Counterfeit products, stolen property, falsified documents, fraudulent credentials, or advertisements intended to facilitate intellectual-property infringement are prohibited.
Hate, Violence, and Exploitation
Advertisements may not promote hatred, dehumanization, violence, exploitation, abuse, terrorism, human trafficking, or criminal organizations.
Content glorifying serious violence or intentionally targeting protected groups with degrading or threatening material may be rejected.
Misleading Interface Techniques
Advertisements must not imitate software buttons, operating-system notifications, security warnings, fake error messages, fake download controls, or other interface elements in a way likely to mislead users.
Cloaking and Circumvention
Advertisers may not show SoireeAds reviewers one version of a website or advertisement while intentionally showing users materially different content.
Attempts to evade enforcement through redirects, domain rotation, account duplication, obfuscated code, altered content, or similar circumvention techniques may result in account termination.
Advertiser Monitoring
Advertisements may be reviewed before publication and may continue to be monitored after approval.
Approval may be withdrawn if content, landing pages, products, legal requirements, or other circumstances change.
Enforcement
Violations may result in rejection, campaign suspension, reduced account functionality, additional verification, payment holds, permanent account termination, or other proportionate action.
Repeated violations may lead to stronger enforcement even when individual violations might otherwise have resulted in lesser action.
4. PUBLISHER POLICY
Publisher Program
The SoireeAds Publisher Program allows approved digital publishers to display eligible advertising distributed through SoireeAds.
Participation is subject to ongoing compliance with platform standards.
Publisher Ownership and Authorization
Publishers must own, operate, or possess sufficient authorization to monetize every website, application, channel, or other digital property submitted to SoireeAds.
Publishers may be required to verify domain ownership or control.
Original and Valuable Content
Publisher properties should provide legitimate value to users.
Sites created primarily to generate advertising impressions without meaningful content may be rejected or restricted.
SoireeAds may refuse inventory associated with scraped content, automatically generated spam, deceptive pages, copied websites, or other low-quality properties.
Invalid Traffic
Publishers must not directly or indirectly generate artificial impressions, clicks, conversions, installations, leads, or other advertising activity.
Prohibited conduct includes clicking one's own advertisements, repeatedly refreshing pages to generate impressions, paying individuals to click advertisements without authorization, operating automated click systems, using bots, purchasing fraudulent traffic, or encouraging users to interact with advertisements solely to support the publisher.
Incentivized Activity
Publishers may not offer money, points, prizes, services, access, reciprocal clicks, or other incentives in exchange for advertising interactions unless SoireeAds has expressly approved the applicable advertising format.
Traffic Sources
Publishers are responsible for the quality and legitimacy of traffic sent to properties displaying SoireeAds advertisements.
Publishers may be required to provide information concerning traffic sources, marketing campaigns, referral activity, or acquisition methods when unusual traffic patterns are detected.
Ad Placement
Advertisements must be placed in a manner that allows users to distinguish advertising from publisher content.
Publishers must not intentionally position advertisements where users are likely to click them accidentally.
Advertisements may not be disguised as navigation buttons, download controls, system alerts, menu items, or unrelated publisher content.
Modification of Advertisements
Publishers may not alter advertising code, advertising creative, destination URLs, tracking systems, attribution data, or advertisement behavior unless SoireeAds expressly permits the modification.
Prohibited Publisher Content
SoireeAds may prohibit advertisements from appearing on properties containing illegal material, malware, phishing, serious intellectual-property infringement, exploitative sexual content, child sexual abuse material, terrorist content, hateful content, fraudulent activity, trafficking, or other material that creates significant legal, safety, or brand risk.
Additional content categories may be restricted at SoireeAds' discretion.
User Privacy
Publishers must provide legally required privacy notices and obtain legally required consent for advertising technologies deployed through their properties.
Publishers are responsible for implementing consent-management requirements applicable to their users and jurisdictions unless SoireeAds expressly assumes a particular responsibility in writing.
Earnings
Publisher earnings are calculated according to the applicable program terms and recorded advertising activity.
Dashboard estimates may be adjusted for invalid traffic, technical errors, advertiser refunds, chargebacks, duplicate activity, policy violations, measurement corrections, or other legitimate adjustments.
Payment Eligibility
Publishers may be required to satisfy minimum payment thresholds, identity verification, tax requirements, payment-account requirements, and policy reviews before receiving funds.
Payment may be delayed or withheld while potential fraud, invalid traffic, ownership disputes, legal restrictions, or material policy violations are investigated.
Suspension and Termination
SoireeAds may suspend or remove a publisher from the network when invalid traffic, fraudulent behavior, unsafe content, deceptive placements, serious privacy violations, or other policy concerns are identified.
Where reasonably possible, enforcement will reflect the seriousness, frequency, and consequences of the violation.
5. REFUND AND PAYMENT POLICY
General
This Refund and Payment Policy governs payments for advertising services and, where applicable, payments made by SoireeAds to participating publishers.
Advertiser Funding
Advertisers may be required to fund an account balance, pay invoices, authorize recurring payments, or provide another accepted payment method before advertising services are provided.
Available currencies and payment methods may vary.
Advertising Spend
Amounts validly consumed through delivered advertising services are generally non-refundable.
Once impressions, clicks, conversions, placements, or other purchased advertising activity have been delivered, those charges represent services already performed except where SoireeAds determines that an adjustment is appropriate because of billing error, material technical failure, confirmed invalid activity, or another qualifying circumstance.
Unused Advertising Balance
An advertiser may request return of an eligible unused prepaid balance subject to verification, payment-provider restrictions, promotional-credit exclusions, outstanding balances, chargebacks, pending campaigns, fraud review, and applicable law.
Promotional, bonus, complimentary, or non-cash advertising credits have no cash value unless SoireeAds expressly states otherwise.
Refund Requests
Refund requests should include sufficient information to identify the account, payment, and reason for the request.
Requests may be submitted to [BILLING EMAIL].
Submitting a request does not automatically establish eligibility for a refund.
Duplicate and Incorrect Charges
Advertisers who believe they were charged incorrectly or more than once for the same transaction should contact SoireeAds promptly.
SoireeAds may review platform records and payment-provider information before issuing a correction.
Unauthorized Transactions
Suspected unauthorized transactions should be reported promptly both to SoireeAds and, where appropriate, to the financial institution or payment provider involved.
An unauthorized-payment claim does not automatically cancel valid advertising charges generated before the account was reported compromised.
Chargebacks
Advertisers should contact SoireeAds to attempt to resolve billing disputes before initiating a chargeback where appropriate.
Fraudulent or abusive chargebacks may result in campaign suspension, account restrictions, recovery proceedings, or termination.
SoireeAds reserves the right to submit relevant records to payment providers when responding to disputed transactions.
Campaign Cancellation
Advertisers may stop or pause eligible campaigns using available account controls.
Cancellation does not ordinarily reverse charges for advertising already delivered.
Publisher Earnings
Eligible publisher earnings may be paid according to the payment cycle, minimum threshold, supported payment methods, and verification requirements displayed in the publisher account or applicable publisher agreement.
Earnings associated with invalid traffic, fraud, manipulation, policy violations, refunded advertiser charges, or measurement errors may be removed from payable balances.
Publisher Payment Holds
SoireeAds may temporarily hold publisher payments while investigating suspected invalid traffic, fraudulent activity, account ownership, sanctions restrictions, tax documentation, payment-account issues, or other material compliance concerns.
Taxes and Fees
Users are responsible for taxes and third-party fees applicable to their transactions except where applicable law requires SoireeAds to collect, withhold, or remit an amount.
Payment providers may separately impose fees according to their own terms.
Account Closure
Closing an account does not eliminate valid outstanding amounts owed to SoireeAds.
Eligible unused balances or publisher earnings remaining after account closure may be processed according to this Policy, subject to minimum thresholds, verification, fraud reviews, legal requirements, and applicable deductions.

6. PROHIBITED ADS POLICY
SoireeAds is committed to maintaining an advertising environment designed to protect users, advertisers, publishers, and the integrity of the platform.
The following advertising categories and practices are prohibited or may be heavily restricted.
Illegal Products and Services
Advertisements may not promote products, services, transactions, or activities that are illegal in the jurisdiction where the advertisement is offered, distributed, sold, or targeted.
Fraud and Deception
Advertisements involving scams, impersonation, phishing, fabricated businesses, pyramid-style fraud, fraudulent investment opportunities, deceptive prize schemes, fake government programs, or intentional financial deception are prohibited.
Malware and Harmful Software
Advertisements that distribute malware, spyware, ransomware, malicious browser extensions, unauthorized cryptocurrency-mining software, credential-stealing programs, or other harmful code are prohibited.
Counterfeit Goods
Advertisements promoting counterfeit branded merchandise, fraudulent replicas represented as authentic, forged documents, stolen products, or other unlawful goods are prohibited.
Sexual Exploitation
Advertising involving sexual exploitation, prostitution where prohibited, trafficking, non-consensual sexual imagery, sexual content involving minors, or other exploitative sexual material is strictly prohibited.
Child Endangerment
Any advertisement promoting, facilitating, depicting, or normalizing sexual abuse or exploitation of children is prohibited.
SoireeAds may report apparent child sexual abuse material or exploitation to appropriate authorities where required or appropriate.
Illegal Drugs
Advertisements for illegal narcotics, unlawful controlled substances, drug trafficking, or products primarily marketed to facilitate illegal drug use are prohibited.
Dangerous Products
Advertising for explosives, unlawful weapons, or products primarily designed to facilitate serious unlawful violence is prohibited.
Additional lawful weapons may also be restricted by SoireeAds policy.
Terrorism and Extremist Violence
Advertisements supporting designated terrorist organizations, recruitment for violent extremist organizations, instructions intended to facilitate terrorist violence, or fundraising for unlawful violent groups are prohibited.
Human Trafficking
Advertisements facilitating human trafficking, forced labor, sexual exploitation, sale of persons, or comparable abuse are prohibited.
Hate and Harassment
Advertisements attacking or threatening people based on legally protected characteristics or promoting dehumanization, serious harassment, or violence against protected groups are prohibited.
False Medical Claims
Advertisements must not falsely claim guaranteed cures, intentionally discourage necessary medical treatment through deceptive claims, or promote unsubstantiated medical outcomes likely to create serious consumer harm.
Deceptive Financial Claims
Advertisements promising guaranteed investment returns, guaranteed wealth, risk-free high returns, fabricated financial results, or fraudulent money-making systems are prohibited.
Fake Documents and Credentials
Advertisements for forged passports, driver's licenses, educational credentials, professional licenses, identity documents, financial records, or other falsified official documents are prohibited.
Academic Fraud
SoireeAds may prohibit services marketed primarily to impersonate students, falsify credentials, or facilitate serious academic dishonesty.
Legitimate educational tutoring and learning services may be permitted.
Surveillance and Privacy Abuse
Advertisements promoting software or services designed primarily for unauthorized stalking, covert credential theft, unlawful interception, or non-consensual surveillance are prohibited.
Intellectual-Property Abuse
Advertisements that clearly promote unauthorized counterfeit products, piracy services, or commercial infringement of intellectual property may be rejected.
Misleading System Messages
Advertisements designed to imitate antivirus warnings, operating-system messages, login prompts, security alerts, or download buttons in a deceptive manner are prohibited.
Forced Redirects
Advertisements may not automatically redirect users to unexpected websites or prevent users from reasonably leaving a destination.
Cloaking
Advertisers may not deliberately conceal prohibited content from SoireeAds review systems by showing reviewers different content than ordinary users.
Circumvention
Creating new accounts, domains, creatives, payment profiles, or business identities to evade an existing enforcement action is prohibited.
Enforcement Authority
The existence of a prohibited-ads list does not create a right to advertise every category not expressly identified.

Taxes

Publisher Content
Publishers retain ownership of their websites, applications, and original content.
By participating in the SoireeAds publisher network, publishers authorize SoireeAds to deliver advertising technology, advertising content, measurement functionality, and associated code to approved digital properties according to applicable program requirements.
Prohibited Conduct
Users may not use SoireeAds to engage in fraud, impersonation, phishing, malware distribution, unauthorized data collection, manipulation of advertising statistics, intellectual-property infringement, illegal transactions, circumvention of platform controls, unauthorized automated access, interference with platform systems, or other activity reasonably considered harmful to SoireeAds, advertisers, publishers, users, or third parties.
Users may not create multiple accounts for the purpose of avoiding suspensions, restrictions, verification requirements, outstanding balances, or enforcement actions.
Third-Party Services
SoireeAds may integrate with payment processors, analytics providers, advertising technologies, hosting companies, fraud-prevention providers, identity-verification providers, data providers, social platforms, or other third-party services.

Platform Availability

4. PUBLISHER POLICY
Publisher Program
The SoireeAds Publisher Program allows approved digital publishers to display eligible advertising distributed through SoireeAds.
Participation is subject to ongoing compliance with platform standards.
Publisher Ownership and Authorization
Publishers must own, operate, or possess sufficient authorization to monetize every website, application, channel, or other digital property submitted to SoireeAds.
Publishers may be required to verify domain ownership or control.
Original and Valuable Content
Publisher properties should provide legitimate value to users.
Sites created primarily to generate advertising impressions without meaningful content may be rejected or restricted.
SoireeAds may refuse inventory associated with scraped content, automatically generated spam, deceptive pages, copied websites, or other low-quality properties.
Invalid Traffic
Publishers must not directly or indirectly generate artificial impressions, clicks, conversions, installations, leads, or other advertising activity.
Prohibited conduct includes clicking one's own advertisements, repeatedly refreshing pages to generate impressions, paying individuals to click advertisements without authorization, operating automated click systems, using bots, purchasing fraudulent traffic, or encouraging users to interact with advertisements solely to support the publisher.
Incentivized Activity
Publishers may not offer money, points, prizes, services, access, reciprocal clicks, or other incentives in exchange for advertising interactions unless SoireeAds has expressly approved the applicable advertising format.
Traffic Sources
Publishers are responsible for the quality and legitimacy of traffic sent to properties displaying SoireeAds advertisements.
Publishers may be required to provide information concerning traffic sources, marketing campaigns, referral activity, or acquisition methods when unusual traffic patterns are detected.
Ad Placement
Advertisements must be placed in a manner that allows users to distinguish advertising from publisher content.
Publishers must not intentionally position advertisements where users are likely to click them accidentally.
Advertisements may not be disguised as navigation buttons, download controls, system alerts, menu items, or unrelated publisher content.
Modification of Advertisements
Publishers may not alter advertising code, advertising creative, destination URLs, tracking systems, attribution data, or advertisement behavior unless SoireeAds expressly permits the modification.
Prohibited Publisher Content
SoireeAds may prohibit advertisements from appearing on properties containing illegal material, malware, phishing, serious intellectual-property infringement, exploitative sexual content, child sexual abuse material, terrorist content, hateful content, fraudulent activity, trafficking, or other material that creates significant legal, safety, or brand risk.
Additional content categories may be restricted at SoireeAds' discretion.
User Privacy
Publishers must provide legally required privacy notices and obtain legally required consent for advertising technologies deployed through their properties.
Publishers are responsible for implementing consent-management requirements applicable to their users and jurisdictions unless SoireeAds expressly assumes a particular responsibility in writing.
Earnings
Publisher earnings are calculated according to the applicable program terms and recorded advertising activity.
Dashboard estimates may be adjusted for invalid traffic, technical errors, advertiser refunds, chargebacks, duplicate activity, policy violations, measurement corrections, or other legitimate adjustments.
Payment Eligibility
Publishers may be required to satisfy minimum payment thresholds, identity verification, tax requirements, payment-account requirements, and policy reviews before receiving funds.
Payment may be delayed or withheld while potential fraud, invalid traffic, ownership disputes, legal restrictions, or material policy violations are investigated.
Suspension and Termination
SoireeAds may suspend or remove a publisher from the network when invalid traffic, fraudulent behavior, unsafe content, deceptive placements, serious privacy violations, or other policy concerns are identified.
Where reasonably possible, enforcement will reflect the seriousness, frequency, and consequences of the violation.
